so if i have a 34 rated player with stats of say, 40.2, 32, & 32......total- 104.2 next star would be 3x35-105, meaning he'd be needing 4 skill points???

That's right. For me, since his other two stats are 32.0, I would bring his 40.2 up to 41.0 in my head, he then has extra 6.0 in that stat. Again in my head, I'll bring the 6 extra points, 3 each to his other two stats, giving you an average of 35, so yeah, there's the next star in 4 skill points.

It's worth noting that he won't gain a star if the total is not an integer, so say his stats are **.2, **.2 and **.2, and you're adding another skill point, that would be **.8 total, so there's no need to work out everything, if you're trying to hold him back from the next star or something.
